Affiliate Agreement


Registration to AffCorner’s Affiliate Program

  1. You must submit a completed application through AffCorners’s website in order to enroll in our affiliate programs. An Affiliate Manager will review it and either approve or reject your application at our sole discretion.
  2. The personal information you provide must be up-to-date, legitimate, and truthful.
  3. You guarantee that you are over the age of legal majority in your jurisdiction, therefore that you meet the age requirement stipulated by the law in your jurisdiction for engaging in a legally binding contract.
  4. You confirm that you are not aware of any legal obstacle preventing you from entering into this agreement.
  5. If you are registering a juristic or corporate entity as an Affiliate, you must possess complete rights, authority, and power to enter into this Agreement on behalf of the said entity.
  6. You agree to these terms and conditions by clicking the “SIGN UP NOW” button on our Affiliate Registration Form.
  7. Upon submitting your application to join our affiliate program, you are required to provide the main domains intended for marketing our program ("Proposed Domain Names"). You agree to provide detailed information about the provided domains, including but not limited to their use, quality, content, and design.
  8. Participation in the Program is contingent upon the Affiliate's acceptance of the Terms and Conditions; applying to or joining the program is not permitted otherwise.
  9. We will cross-reference application details with domain name registration information when necessary. Affiliates must not try to create multiple Affiliate accounts without obtaining prior written consent from AffCorner.
  10. Your Site must adhere to several prohibitions, including refraining from infringing on our trademark rights or those of any third party, avoiding the use of stolen content or designs that may violate third-party rights. Your Site is also restricted from featuring sexually explicit, hate-filled, violent, or offensive content or materials, and from promoting illegal activities or violating any applicable laws, such as those addressing spyware, adware, or spam.
  11. Your Site must not violate intellectual property rights, like scraping text or images from other websites, including those of our partners, or incorporating our partners' or our brand name within the domain name.
  12. AffCorner retains the right to reject an application if, at our sole discretion, we determine that Your Site is designed to appeal to minors. Rejected applicants can reapply to the Program at any time. It's crucial to understand that if we accept an application and subsequently find, at our sole discretion, that Your Site is unsuitable for the Program, we may terminate this Agreement immediately.
  13. You are responsible for the security of your affiliate login and password We shall not be held responsible for any losses that may occur due to unauthorized access to your account.
  14. Affiliates shall not attempt to open more than 1 (one) Affiliate account without prior written consent from AffCorner, nor will an Affiliate earn commissions from his own player account. Affiliates are not allowed to bet using their Affiliate account. In the event that an Affiliate wishes to play on any of our brands websites, said Affiliate must set up a separate player account on the brand website of preference. If an Affiliate wishes to test the system, AffCorner will provide the Affiliate with a demo account to access our platform. In the case of a violation, AffCorner has the right to void all applicable earned commissions from such account. For the avoidance of doubt, any personal player account on AffCorner’s website should not be directly linked to an Affiliate account.
  15. Affiliates are only allowed to have 1 (one)  account per IP (household) and per brand. Other people on the same IP (household) are allowed to sign up if they wish. If more than 1 person is using AffCorner’s Affiliate program from the same IP (household), then everyone from that IP (household) will be required to submit their ID to AffCorner for verification.
  16. All affiliate applications undergo an individual review process within one business day. Upon approval, our affiliate department will send you a notification via email.
  17. Upon registration, every affiliate will be sent a welcome letter containing their new username and password.

Protection of Minors

  1. Registration and participation on Our Sites or Participating Sites are restricted to individuals aged 18 and above. Our platforms are not intended for children or adolescents, and we employ stringent measures to prevent underage individuals from registering. Consequently, we reserve the right to decline Your application if, in Our sole discretion, we determine that Your Site is crafted to attract minors, making it unsuitable for Our Program.
  2. If you wish to attain the status of a Master Affiliate and earn commissions from referred Affiliates, please reach out to our Affiliates department. We will set up a distinct account for you, allowing you to promote and register new Affiliates.

AffCorner’s Affiliate Program’s Promotion

  1. Participating Sites covered under this Agreement include AffCorner.com, BetPhoenix.ag, Skybook.ag, Betmania.ag, BogartCasino.ag and all its variations. Additional Participating Sites may be included over time, and if you wish to promote such sites, you can activate your account for them explicitly.
  2. Upon acceptance into the Program, we will provide you with banner advertisements, button links, text links, and other links (collectively referred to as "Links"), linking to Participating Sites. You may display these Links on Your Site, provided you adhere to the terms of this Agreement.
  3. When using the Links, you agree to cooperate fully with us in establishing and maintaining these Links, ensuring their prominent display on all your websites. Modification of a Link is not allowed unless prior written consent is obtained from us.
  4. The use of software such as spiders, algorithms, or bots to access any of our brand's websites or affiliate program websites is strictly prohibited.
  5. We reserve the right to monitor Your Accepted Sites to ensure compliance with this Agreement. If we find that your use of any Link violates the terms, we may take measures to render the Links inoperative.
  6. Promotion of our sites outside of standard affiliate links requires prior written permission. The use of Links is the exclusive method for advertising our sites.
  7. Unauthorized use of our XML feeds, API feeds, or server-to-server information may result in authorization or blocking at our discretion.
  8. Advertising our sites through spam emails or other unauthorized methods is not allowed.
  9. Affiliates engaged in Pay Per Click (PPC) Advertising are prohibited from bidding on branded keywords of Participating Sites or competitor sites. Violation may lead to withholding commissions and termination of the affiliate agreement.
  10. As an Affiliate, your responsibility includes promoting Participating Sites by incorporating advertising banners and special tracking URLs provided by us. Only properly tagged Players can be assigned to an Affiliate, and improper insertion may result in unassigned player registration.
  11. Any modification of banners or creative material supplied by us requires prior written consent.
  12. You must ensure that materials on your website(s) do not violate copyright or intellectual property rights.
  13. We are not liable for loss or injury caused by the negligent use of our creatives or links.
  14. Ownership of potential Players is assumed by the Participating Site upon the first official contact with a visitor referred by you.
  15. Derivative Domain names cannot be used by you to promote any Participating Site without prior written agreement.
  16. Offering "rake-back or cash-back" schemes, or similar arrangements returning a portion of Player's revenue, is prohibited. The use of these terms in advertising is also restricted. If we determine your engagement in prohibited activities, we may withhold Referral Commissions and/or terminate the Agreement at our discretion.

Email Spam Policies

  1. As an Affiliate, you commit to adhering to the provisions of the CAN-SPAM Act of 2003 when distributing emails containing messages related to the Participating Sites. Additionally, you pledge that all promotional activities conducted with us will align with industry-accepted standards. Any unacceptable behavior, including the use of spam, will result in the immediate termination of this agreement.
  2. We do not endorse the promotion of online betting through the US Postal Service.
  3. Placing banners and links within unsolicited emails (spam), unauthorized newsgroup postings, or chat rooms, or utilizing "bots" is strictly prohibited. Traffic generated through such means or any illegal methods will not contribute to the calculation of commissions payable to you under this agreement. Moreover, we reserve the right to terminate this agreement promptly if we discover that you are engaged in spamming, false advertising, or any other marketing activity that could harm the reputation of the Participating Sites, their brands, or us.
  4. In case of suspicion regarding such conduct, we retain the right to subject your account to review, withholding all funds due to you until an investigation into your account and activities is completed. Additionally, we reserve the right to impose expenses and/or fees incurred as a result of such activities on your behalf.
  5. You agree to indemnify, defend, and hold us, or any of our hosted brands, harmless from any costs, expenses, or liabilities arising from any actual or alleged breach of your obligations under this Email/Spam Policy.

Responsibilities Regarding Your Website

  1. You bear exclusive responsibility for the technical functionality of Your Website and the accuracy and appropriateness of the content posted on it. You agree that your website, social media accounts, or any similar platforms shall not replicate or imitate the appearance of Our Site or Participating Sites. Additionally, you shall refrain from creating any impression that Your Site is affiliated with Our Site or constitutes a part of Our Site or Participating Sites. Displaying names containing our brand's names or variations resembling our Brand's name is strictly prohibited. Furthermore, using anchor text for keyword phrases, names, or words resembling our Brands is not allowed.
  2. You also affirm that Your Website will not include any content from Our Site or materials proprietary to AffCorner or Our Other Brands Sites, except with Our explicit prior permission or materials obtained through the Affiliate Program Information Site in accordance with the provided provisions, policies, or instructions.
  3. You agree to indemnify and hold Us and Our Participating Sites harmless from all claims, damages, and expenses, including attorney's fees and expert witness fees, related to the development, operation, maintenance, and content of Your Website or any materials, products, or services linked therein.
  4. You acknowledge that your conduct as an Affiliate reflects on Us and Our Participating Sites, possessing the potential to significantly impact Our reputation and goodwill. Therefore, you must consistently consider the goodwill and reputation of AffCorner.com.
  5. You are solely responsible for ensuring that the content on Your Site and the products and services you offer comply with all applicable copyright and other laws. Express permission is required to use another party's copyrighted or proprietary material. We will not be held responsible if you utilize another party's copyrighted or proprietary material on Your Site in violation of the law or any agreement; however, your indemnity, as outlined below, will protect Us in such instances.
  6. In the event of the sale of an Accepted Site, the existing player sheet of that website does not automatically transfer to the new ownership. It is essential to contact Your account manager before a change of ownership to ensure mutual agreement on terms and responsibilities among all parties involved.

Cookies

  1. When a player clicks on a link with an affiliate tracking code, a cookie is generated for the subsequent 30 days. If, within this period, the individual establishes an account, it will be linked to the affiliate tracking link for that user.
  2. The affiliate credited for a visitor opening an account will be determined by the last cookie that tracked the visitor before the account was created.

Our Responsibilities

  1. We are obligated to provide you with all necessary information to enable the creation of appropriate links from Your Site and marketing to Our Participating Sites. We will monitor the count of Referred Players, defined as any Player not previously registered at any of the Participating Sites, who, due to your independent effort, (1) has been directed to any of the Participating Sites by you, (2) has properly registered and established an account with any of the Participating Sites, (3) has been verified and accepted as a Player at any of the Participating Sites, (4) has fulfilled any prescribed qualification conditions by the Participating Site, and (5) has deposited real money into the said account (Money Players). This determination will be solely made by us based on information registered on the relevant Participating Site.
  2. You, your relatives, and, in the case of a corporate entity, your employees are not eligible to become Referred Players. If you or they contravene this provision, you will be ineligible to receive the corresponding commission. For clarification, "relative" includes a spouse, partner, parent, child, or sibling. We retain the right to close your account if such Players are registered, and all commissions owed to you will be withheld.
  3. The number of Referred Players per individual household computer is strictly limited to one. Our measurements and calculations regarding the number of Money Players and relevant Gross Revenue figures are definitive and not subject to review or appeal. We will make the number of Money Players and relevant Gross Revenue figures accessible to you through Our information site.
  4. We will provide you with a detailed report outlining the total number of referred Players, generated activity, and commissions or payments due to you. Additional statistics deemed necessary for better promotion of the brands of the participating sites will be periodically provided. You will have online access to the report contents.

Commissions

  1. As the agent for the Participating Sites, we will remit commission solely for sign-ups with fund deposits to any of the Participating Sites. Your eligibility for a referral fee will only arise when the customer qualifies as a Referred Player. However, commission payments will not be made for any services purchased by a customer if the account is determined to be abusing bonuses or credit card privileges in any manner. We reserve the right to retract and reverse retroactive fraudulent and chargeback activities at any juncture. Commission payments will persist for all Referred Players throughout the duration of this Agreement.
  2. AffCorner retains the right to introduce varied commission structures and revenue models for different affiliate partners. Adjustments to any affiliate's commissions may occur at the discretion of management.
  3. AffCorner maintains the right to scrutinize all commissions for potential Fraud, whether initiated by the Money Player, a Sub-Affiliate, or yourself. During any review period, not exceeding 180 days, where commissions are under scrutiny for potential Fraud, AffCorner has the prerogative to withhold any accrued commissions, which will not be disbursed until the review concludes. Any instance of Fraud on your part constitutes a breach of this Agreement. In such a breach, AffCorner reserves the right to promptly terminate this Agreement, and you will not be entitled to receive any Commissions accrued at that time, whether generated through Fraud or otherwise. Additionally, AffCorner may offset from future Commissions any amounts previously received by you proven to have been generated by Fraud. It is essential to provide accurate details regarding your preferred method of receiving Commissions, and AffCorner is not liable for any delays resulting from inaccurate information.
  4. AffCorner implements negative carryover. In CPA campaigns, chargebacks from Fraudulent Accounts will be subtracted from Affiliate commissions. This policy is adopted because it is not reasonable to pay commissions based on revenue that was never realized.

Net Revenue:

  1. Net Revenue encompasses all gross funds from bets made, deducting monies paid out to Referred Players as winnings, fraud, chargebacks, bonuses, rebates, processing costs, and other incentives offered to the Referred Player.
  2. Should you wish to present specific incentives to potential Referred Players, you must obtain our prior written approval before initiating such activities. Failure to secure approval and offering such unapproved incentives will render you ineligible to receive commissions generated from Referred Players associated with these incentives.
  3. AffCorner’s affiliate software statistical reports, payment reports, and customer tracking methods are accurate and reasonable, with calculations deemed final.
  4. Commissions will be remitted to you on a monthly basis, with the Affiliate Program month-end set as the last day of the month. Payments for the previous month will be processed by the 10th of each calendar month, provided your payment information is updated and accurate by the 1st of the month.
  5. If your Revenue Share displays a negative balance for a particular month, resulting in a negative Commission, the deficit will be carried forward to subsequent months.
  6. We reserve the right to set-off associated costs related to the transfer of commissions from the amount to be paid to you. In the event that the commission to be paid in any calendar month is less than 100 USD (the "Minimum Amount"), we are not obliged to make the payment until the commission equals or exceeds the Minimum Amount. You are responsible for checking the relevant minimum amounts per payment processing method and associated costs.
  7. Commissions will not be paid on any non-depositing player utilizing bonuses.
  8. We retain the right to review all commissions for potential fraud, whether on the part of the Referred Player or yourself. Any instance of fraud on your part constitutes a breach of this Agreement, and we reserve the authority to terminate this Agreement immediately, holding affiliate payments for up to 180 days for review.
  9. We also retain the right to withhold affiliate payments generated by any Affiliate players under investigation. We reserve the right to refuse customers or close their accounts at the manager’s discretion, with a payment hold of up to 180 days.

Entitlement to Revenue Share based on Net Revenue:

  1. All Affiliates must generate a minimum of three (3) Affiliate Players in any rolling 6-month period to be eligible for the Revenue Share based on Net Revenue. Failure to meet this requirement reduces the Affiliate's entitlement to 10% of applicable Net Revenue for such Affiliate Players. If the Affiliate later exceeds the minimum Affiliate Players requirement upon reinstatement, the Affiliate will be entitled to the percentages based on Net Revenue for future earnings by such Affiliate Players. The Affiliate shall not be entitled to the percentages retrospectively, regardless of their reinstatement.

Withdrawal and Account Balances:

  1. It is your responsibility to regularly withdraw any payable account balances through an available/chosen withdrawal option. Payable account balances should not remain in the account for a period longer than 6 months. Failure to withdraw balances exceeding $100,000 for over 6 months will result in permanent removal of these balances.

Payouts:

  1. Affiliates have the option to request their payouts during the first week of each month, starting from Monday, via email to [email protected]. The Affiliate's Commission percentage is computed weekly and credited to the Affiliate's account every Monday. Payouts are generally processed around the 10th of each month for the preceding month.
  2. Affiliates can initiate their requests for cash withdrawals during the first week of the month using the following payout methods:

Minimum Payout amount: $100

  1. In the case where an Affiliate's Commissions monthly earnings surpass $5,000 USD, multiple payments can be processed. However, the affiliate is required to provide multiple unique BTC addresses.

Fraud and Commission Details:

  1. In the event that we determine fraud has occurred, either on your part or on the part of a Referred Player, you will not be entitled to receive any commissions accrued at that time, whether generated through fraud or otherwise.
  2. Accurate details regarding your preferred method of receiving commissions are essential. We are not liable for delayed commission receipt due to inaccurate details. It is your responsibility to be aware of money owed and commissions received. While we will update you with sent commissions, after six (6) months, it will be presumed that the money sent was received and will no longer be traced.

Fraud Examples and Policies:

  1. For the purpose of this Agreement, "Fraud" includes, but is not limited to, bonus abuse, encouragement of bonus abuse, chargebacks, collusion with other players, opening an account in breach of the agreement terms, offering unauthorized incentives to potential players, and any act reasonably understood to be committed in bad faith against Us and Our Participating Sites, regardless of whether or not such action has resulted in any type of harm or damage.
  2. AffCorner will not pay commissions on your own, or a related person’s player account. Attempts to do so will be considered fraudulent and may result in your account being closed. Commissions will not be paid to anyone who is a relative or has relatives under that affiliate account.

Syndicate Player and Chargeback Policy:

  1. Should you be considered a syndicate player joining the affiliate program with the sole purpose of using the commissions to lay off your odds, your account will be deemed fraudulent and closed.
  2. Chargeback Policy: Chargebacks directly affect the accumulated Net Revenue received by Us, impacting Your commission payment as well. If a Referred Player disputes a transaction resulting in a chargeback, the accumulated chargeback amount will be deducted from your Gross revenue. In the case of CPA accounts, the total chargeback amount will be deducted from that CPA ($) amount.

Referral Commission (Sub-Affiliates):

  1. If an Affiliate refers a Sub-Affiliate to the Program, the Affiliate is entitled to a Referral Commission, calculated as 5% of the Sub-Affiliate’s Revenue Share Commission.
  2. To be considered a valid referral, the Sub-Affiliate must not be directly or indirectly owned or controlled by the referring Affiliate or any immediate family member of the referring Affiliate. Referral Commissions are not applicable for connected Sub-Affiliates.
  3. AffCorner reserves the right to change the amount of Referral Commission for new Sub-Affiliates referred at any time by providing notice.
  4. We retain the right to terminate and confiscate earnings from Affiliates who fraudulently generate CPAs by referring family members, friends, or fake accounts to exploit the CPA revenue model.
  5. Sub-affiliate deals will remain active as long as the referred affiliate continues to promote the brands and sends new players to our revenue sites.
  6. The Sub-affiliate deal will become inactive, and earnings will cease if the referred affiliate no longer sends new players to the revenue sites.
  7. Sub-affiliate deals will remain active as long as the referred affiliate maintains or exceeds the 20% minimum baseline earnings level. If a referred affiliate drops to the 10% Revenue Share level, the sub-affiliate account will become inactive, and earnings will cease.
  8. Commissions paid out to Player Accounts are intended for play, and a one-time rollover of the full commissions paid is required.
  9. If the referred affiliate account becomes suspended or violates any operating terms, earnings to the sub-affiliate account will cease.
  10. AffCorner reserves the right to alter or amend the terms of these clauses at any time without notice.

Sales Reports:

  1. We will routinely update your sales statistics on our platform. You will be provided with a designated username and password to access and review these statistics on a daily basis.

Licenses and Use of Brand Logos and Trademarks:

  1. We grant you a non-exclusive, non-transferable, and revocable right:
  2. To access our sites through the provided links, adhering to the terms of this agreement.
  3. Solely in connection with these links, to use our logos, trade names, trademarks, and similar identifying material related to us (collectively referred to as the "Licensed Materials"). This usage is exclusively for establishing a link to our sites, allowing users on your site to subscribe to our participating sites.
  4. You are prohibited from altering, modifying, or changing the licensed materials in any manner. Apart from creating a link from your site to ours, you may not use any licensed materials without obtaining our prior written consent. The licensed materials must not be used in a disparaging manner or in a way that portrays us negatively. We retain all rights in the licensed materials and other proprietary rights. We reserve the authority to revoke your license at any time, and such revocation will be communicated to you in writing.
  5. Ownership of all content displayed on our site or our participating sites remains the respective property of our clients. This ownership shall not be considered transferred to you through any action or omission in this agreement. You are prohibited from asserting the invalidity, unenforceability, or contesting the ownership of our intellectual property or that of our participating sites in any legal action. Additionally, you must not take any action that could prejudice the rights of our licensors in their intellectual property, make it generic, or otherwise weaken its validity or diminish associated goodwill.

Terms of Agreement and Termination:

  1. The commencement of this Agreement occurs upon your completion of the sign-up process, receipt of our acceptance to the Program, and the creation of a unique link to our sites. This agreement remains in effect continuously unless either party decides to terminate it, with or without cause. Termination requires written notice from one party to the other, and upon receipt, the agreement is terminated immediately. Termination is at the will of either party, with or without reason. Notification can be delivered via email to [email protected] or the affiliate manager, considered a written and immediate form of notification.
  2. Upon termination, you are obligated to remove all banners/icons from your site(s) and disable all links from your site(s) to ours. All rights and licenses granted to you under this Agreement cease immediately. Any confidential information in your possession must be returned to us, and the use of our marks must cease.
  3. Failure to fulfill obligations may result in the non-payment of commissions upon termination, and commissions generated after the termination date may not be paid.
  4. Final payments may be withheld for a reasonable time after termination to ensure accuracy.
  5. Any post-termination activity generating revenue does not constitute a continuation or renewal of this Agreement, nor does it waive termination.

Modification:

  1. We reserve the right to modify any terms in this Agreement at any time and at our discretion. It is your responsibility to periodically check for changes. Your continued participation after changes indicate your acceptance. If modifications are unacceptable, your only recourse is to terminate the Agreement.
  2. No modifications, additions, deletions, or interlineations are permitted or recognized unless reduced to writing and signed by both parties. Verbal alterations by our employees, officers, or agents are not valid.

Relationship of Parties:

  1. You and AffCorner.com, and any entities it represents, are independent contractors. This Agreement does not create a partnership, joint venture, agency, franchise, sales representative, or employment relationship. You have no authority to make or accept offers or representations on our behalf.

Representations and Warranties:

  1. We make no express or implied warranties or representations regarding the Program or services sold through it. We do not guarantee uninterrupted operation of our site and are not liable for interruptions or errors.
  2. Each party represents and warrants:

The Agreement is duly and validly executed.

Performance of the Agreement will not conflict with applicable laws, orders, judgments, or agreements.

No governmental authority or third-party consent is required for execution or performance.

There are no pending or threatened claims or proceedings against the party regarding this Agreement.

Confidentiality:

During this Agreement's term, you may access confidential information about our business. You agree not to disclose or use this information without our prior written consent.

Limitation of Liability:

We are not liable for indirect, special, or consequential damages arising from this Agreement or the Affiliate Program. Our aggregate liability does not exceed total commissions paid under this Agreement.

Indemnification:

You agree to indemnify us, our entities, and affiliates against any claims, actions, liabilities, losses, damages, expenses, and costs arising from certain actions outlined in the Agreement.

Data Protection:

You must comply with data protection laws in your jurisdiction and any jurisdictions in which you operate.

Notification:

Notices are deemed given when received by email.

Independent Investigation:

You acknowledge reading and agreeing to the Agreement. You understand that we may solicit referrals or operate websites similar to yours. Your decision to participate in the Affiliate Program is independent, not relying on representations beyond the Agreement.

Construction:

This Agreement is governed by the laws of Curacao. If a court finds any provision unenforceable, it will be enforced to the maximum extent permissible, and the remainder of the Agreement will continue. Our failure to enforce any provision does not waive our right to enforce it later.

Entire Agreement:

This Agreement constitutes the entire agreement between the parties, superseding all prior communications.
